Copyright Policy

How Flex protects its intellectual property and handles copyright concerns.

1. Introduction

This Copyright Policy explains the ownership, protection and permitted use of intellectual property made available through the Flex Platform and the Flex Website.

Flex Online (Pty) Ltd ("Flex", "we", "our" or "us") respects the intellectual property rights of others and expects all Platform Users, Customers and Website visitors to do the same.

This Policy should be read together with the:

  • Website Terms;
  • Platform Terms;
  • Acceptable Use Policy;
  • Privacy Policy; and
  • any applicable Software Subscription Agreement entered into between Flex and a Customer.

2. Scope

This Policy applies to:

  • the Flex Website;
  • the Flex Platform;
  • all Platform Users;
  • Customers;
  • Website visitors; and
  • any person who accesses, downloads, uploads or otherwise interacts with content made available by Flex.

3. Flex Intellectual Property

Unless expressly stated otherwise, Flex owns or is licensed to use all intellectual property relating to:

  • the Flex Platform;
  • software;
  • source code;
  • object code;
  • databases;
  • user interfaces;
  • documentation;
  • graphics;
  • website content;
  • logos;
  • branding;
  • trademarks;
  • service marks;
  • icons;
  • designs;
  • reports;
  • templates;
  • workflows;
  • APIs;
  • AI functionality developed by Flex;
  • platform architecture; and
  • all related materials.

Nothing contained in this Policy transfers ownership of any Flex intellectual property.

4. Customer Content

Flex does not claim ownership of Customer Content.

Subject to applicable agreements, Customer Content remains the property of:

  • the Customer;
  • the Platform User;
  • or the applicable rights holder.

Customer Content may include:

  • learning material;
  • assessments;
  • evidence;
  • videos;
  • images;
  • documents;
  • reports;
  • competency records;
  • certifications;
  • portfolios;
  • uploaded media; and
  • other content created or uploaded by Customers or Platform Users.

Flex receives only those rights necessary to host, process, secure, transmit, back up and otherwise provide the Flex Platform in accordance with applicable agreements and the Privacy Policy.

5. Permitted Use

Subject to these Policies and applicable agreements, users may:

  • access the Flex Website;
  • access the Flex Platform where authorised;
  • download documentation expressly made available for that purpose;
  • use content in accordance with the permissions granted by Flex or the applicable rights holder; and
  • make reasonable internal business use of publicly available Flex materials.

No broader licence is granted unless expressly agreed in writing.

6. Prohibited Use

Unless authorised by Flex or the applicable rights holder, you must not:

  • copy substantial portions of Flex intellectual property;
  • reproduce software;
  • distribute proprietary documentation;
  • modify Flex software;
  • reverse engineer, decompile or disassemble the Flex Platform except where expressly permitted by law;
  • remove copyright notices;
  • remove proprietary notices;
  • remove branding;
  • create derivative works from Flex software;
  • commercially exploit Flex intellectual property;
  • represent Flex intellectual property as your own; or
  • otherwise infringe intellectual property rights.

7. Third-Party Intellectual Property

The Flex Platform and Website may include software, integrations, trademarks, content or other intellectual property owned by third parties.

Ownership of such material remains with the applicable third-party owner.

Use of third-party intellectual property remains subject to the terms established by the relevant rights holder.

8. Open Source Software

The Flex Platform may incorporate components made available under recognised open-source licences.

Where applicable, those components remain subject to their respective licence terms.

Nothing contained in this Policy limits any rights granted under an applicable open-source licence.

9. Trademarks

The names:

  • Flex;
  • Flex Online;
  • the Flex logo;
  • product names;
  • service names; and
  • associated branding,

are trademarks or registered trademarks of Flex Online (Pty) Ltd unless otherwise indicated.

Nothing contained in this Policy grants permission to use Flex trademarks without prior written permission.

10. Reporting Copyright or Intellectual Property Infringement

If you believe that material made available through the Flex Website or Flex Platform infringes your copyright or other intellectual property rights, you may submit a written notice to Flex.

Your notice should include:

  • your name and contact details;
  • identification of the intellectual property concerned;
  • identification of the material alleged to infringe those rights;
  • sufficient information for Flex to locate the material;
  • an explanation of the alleged infringement;
  • confirmation that the information supplied is accurate; and
  • confirmation that you are authorised to act on behalf of the rights holder where applicable.

11. Investigation of Infringement Claims

Upon receiving a sufficiently detailed notice, Flex may:

  • investigate the matter;
  • request additional information;
  • temporarily restrict access to the relevant material;
  • notify the Customer or Platform User involved;
  • remove material where appropriate;
  • restore material where an infringement is not established; or
  • take any other reasonable action necessary to comply with applicable law or contractual obligations.

Flex does not undertake to proactively monitor all Customer Content for possible intellectual property infringement.

12. Repeat Infringement

Where Flex reasonably believes that a Platform User repeatedly infringes intellectual property rights or repeatedly breaches this Policy, Flex may, subject to applicable law and contractual obligations:

  • issue warnings;
  • suspend access;
  • restrict functionality;
  • remove infringing material;
  • notify the relevant Customer; or
  • terminate access to the Flex Platform.

13. Artificial Intelligence and Intellectual Property

The Flex Platform may provide AI-assisted functionality.

Platform Users remain responsible for ensuring that material generated, uploaded or submitted through AI-assisted functionality does not knowingly infringe the intellectual property rights of others.

Unless expressly agreed otherwise, Flex does not claim ownership of Customer Content solely because AI-assisted functionality has been used in connection with that content.

14. Policy Updates

Flex may amend this Policy from time to time to reflect:

  • legal developments;
  • changes to the Flex Platform;
  • technological developments;
  • operational improvements;
  • changes to intellectual property practices; or
  • business requirements.

The latest version will always be published within the Flex Trust Centre.
